By accessing or using Simbel AI ("the Service"), operated by Simbel AI L.L.C. ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all visitors, users, and others who access the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Simbel AI is an AI-powered marketing automation platform that provides campaign research, content creation, automated publishing, and analytics optimization services through AI agents. The Service includes a web dashboard, API access, and integration with third-party platforms.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

4. Subscription Plans & Billing

The Service offers multiple subscription tiers (Free Trial, Starter, Growth, Professional). Paid subscriptions are billed monthly through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

  • Free Trial: 14 days of access with limited features. No credit card required.
  • Upgrades/Downgrades: Plan changes take effect immediately with prorated billing.
  • Cancellation: You may cancel at any time from your account settings. Access continues until the end of the current billing period.
  • Refunds: We do not offer refunds for partial billing periods. Contact support for exceptional circumstances.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Generate, distribute, or publish spam, unsolicited messages, or misleading content
  • Infringe on any intellectual property rights of third parties
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to harass, abuse, or harm others

6. Content & Intellectual Property

Your Content: You retain ownership of all content you create, upload, or generate through the Service. By using the Service, you grant us a limited license to process and display your content as necessary to provide the Service.

AI-Generated Content: Content generated by AI agents on your behalf is considered your content. You are responsible for reviewing AI-generated content before publication and ensuring it complies with applicable laws and platform terms.

Our Intellectual Property: The Service, including its software, design, logos, and documentation, is owned by Simbel AI L.L.C. and protected by intellectual property laws.

7. Third-Party Integrations

The Service integrates with third-party platforms (Instagram, Facebook, Twitter/X, LinkedIn, WhatsApp, email providers). Your use of these integrations is subject to the respective platforms' terms of service. We are not responsible for the availability, actions, or policies of third-party platforms.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

9. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with reasonable notice when possible.

10. Limitation of Liability

To the maximum extent permitted by law, Simbel AI L.L.C. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Simbel AI L.L.C. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Simbel AI L.L.C. is incorporated, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
